“技术交易”（Technology Exchange) 在中国早已成为时髦词汇，并且从个体、地方政府机构到大型国家机构都在提供所谓“技术交易”服务。 然而, 由于对交易对象的实质内容的根本属性缺乏专业认识和实际商业操作经验和能力，传统的技术交易只能做“皮毛交易”，所产生的效果相比实际存在的技术资源的潜力，微乎其微，甚至常常有误导资源、浪费商机的负面效应。 由于没有一个合理、落实的商业结构支撑，传统的技术交易导致如下致命伤： 一，所交易和转让的都是孤立单薄的技术信息转让，常常并没有实质商业意义上的转让。这种技术信息无法包括整套人才、技术和产品继续开发能力，无法完成真正的交易和转移。 二，同时，传统模式下的技术转让交易都是靠主观感觉随意决定完成的，没有一个可靠的商业化过称可遵循，也缺乏成熟的商业工具，具体表现在： （1）孤立的知识产权很难估值，缺乏评估的机制和工具； （2）由于缺乏平台效应和商业工具环境，每一笔技术转让交易都要从头谈起，并且没有已经树立的历史信任点，导致交易难度高，交易成本和所实现的价值相比过高； （3）由于缺乏实际参与能力，没有成套的人员、技术实施细节和秘诀，以及配套的设备和流程，交易后的专利和技术信息无法被有效吸收并产业化。
